These Pro Seller Terms and Conditions (“Terms”) govern participation in the Item Instock Pro Seller Program. The Pro Seller Program is an invitation-only offering designed for approved businesses to sell commercially on the Item Instock marketplace. Participation is subject to compliance with these Terms and the Item Instock Terms of Service.

Item Instock reserves the right to modify, suspend, or terminate the Pro Seller Program at any time. Pro Seller status may also be revoked for violation of these Terms or any Item Instock policy.

2. Business Use Certification

By opening a Pro Seller account, you certify that your Item Instock account is used primarily for business or commercial purposes. You acknowledge that you are operating as a business seller and are solely responsible for meeting all applicable tax, regulatory, and legal obligations related to your sales.

3. Sales Tax Handling

Where Item Instock is required by law to act as a marketplace facilitator, applicable sales taxes may be calculated, collected from buyers, and remitted to the appropriate tax authorities on your behalf. Collected taxes will be displayed to buyers as a separate line item and included in the total purchase amount.

4. Pro Seller Account Requirements

To qualify and remain active as a Pro Seller, your account must meet the following requirements:

• Use your registered business or company name as the account name and username
• Maintain a valid physical business address (PO Boxes alone are not accepted)
• Provide a valid bank account eligible for payouts
• Submit required business identification and verification information

Depending on your business structure, required information may include:
• For sole proprietors: legal name, address, date of birth, and taxpayer identification number
• For registered entities: business name, business address, taxpayer identification number, and proof of business existence (such as incorporation documents, licenses, or registrations)

You must also provide the names and addresses of owners, principals, or authorized users accessing the account, along with information regarding inventory sources and business practices.

5. Verification & Risk Review

You authorize Item Instock to conduct reasonable reviews, including verification checks and, where permitted by law, personal or business credit assessments at account creation or if elevated risk is identified.

6. Account Balance & Funds Access

Funds from completed sales may be held in your Pro Seller balance and can be used for purchases, refunds, or withdrawn to a linked bank account or supported payout method. Item Instock may offset amounts owed for refunds, chargebacks, or other valid adjustments.

You agree to indemnify Item Instock for losses, fees, penalties, or expenses arising from:
• Chargebacks, refunds, payment reversals, or invalid payments
• Errors, negligence, misconduct, or fraud by you or anyone acting on your behalf
• Failure to comply with these Terms or Item Instock policies

Accounts with elevated chargeback or refund activity may be required to maintain a reserve balance as a security measure.

7. Fees & Pricing

Pro Seller accounts may be subject to fee structures different from standard seller accounts. Item Instock will provide notice prior to implementing any fee changes that materially affect your account.

8. Pro Seller Responsibilities & Benefits

As a Pro Seller, you acknowledge and agree that:

• You remain subject to all Item Instock Terms of Service, including Prohibited Items and Prohibited Conduct policies
• You are responsible for inventory authenticity, order fulfillment, refunds, returns, and chargebacks related to your sales
• Item Instock does not indemnify Pro Sellers against third-party claims

Approved Pro Sellers may receive:
• A Pro Seller badge or identifier on eligible listings
• Priority consideration for promotions, features, or testing programs
• Access to enhanced seller tools to manage inventory and operations

9. Monitoring & Reviews

Item Instock may periodically review Pro Seller accounts, including inventory quality, compliance status, licenses, and internal practices, to ensure continued eligibility.

10. Termination

Item Instock may suspend or terminate Pro Seller participation if these Terms are violated, the account poses elevated risk, or continued participation is no longer aligned with platform standards. Termination of Pro status does not limit Item Instock’s rights under other applicable agreements or policies.

11. Acceptance

By accepting these Terms or continuing to operate as a Pro Seller on Item Instock, you acknowledge that you have read, understood, and agreed to be bound by these Pro Seller Terms and the Item Instock Terms of Service.
