Contributor License Agreement (CLA) – Item Instock

Introduction
Thank you (“You”) for your interest in contributing to the open-source projects, tools, documentation, and platform components of Item Instock and its affiliates (collectively, “Item Instock,” “we,” “us,” or “our”).

To ensure clear intellectual property rights and protect contributors, Item Instock, and its users, we require a Contributor License Agreement (“CLA”) to be on file before accepting any contribution. This agreement does not limit your ability to use your own contributions elsewhere.

By submitting any contribution to Item Instock, you confirm that you have read, understood, and agreed to be bound by the terms of this CLA.

1. Definitions

Contribution
Any original work of authorship, including but not limited to source code, software, documentation, designs, text, or other materials, as well as modifications or additions to existing works, intentionally submitted to Item Instock for inclusion in, improvement of, or documentation of any Item Instock product, service, or project (“Work”).

Contributions may be submitted through repositories, issue trackers, emails, forms, or other communication channels managed by or on behalf of Item Instock. Content explicitly marked as “Not a Contribution” will not be treated as a Contribution.

You / Your
The individual or legal entity that owns or controls the intellectual property rights in the Contribution. For entities, this includes subsidiaries, affiliates, and entities under common control.

2. Grant of Copyright License

You grant Item Instock and its users a worldwide, non-exclusive, perpetual, irrevocable, royalty-free license to use, reproduce, modify, adapt, publish, display, perform, sublicense, and distribute your Contributions and derivative works as part of the Item Instock platform or related services.

3. Grant of Patent License & Defensive Termination

You grant Item Instock and its users a worldwide, non-exclusive, royalty-free, irrevocable license under your patent rights to make, use, sell, offer for sale, import, and otherwise exploit your Contribution, where such rights are necessarily infringed by the Contribution alone or in combination with the Work.

If you or any entity initiate patent litigation alleging that a Contribution or Item Instock Work infringes a patent, any patent licenses granted under this CLA related to that Contribution will automatically terminate as of the filing date.

4. Contributor Representations

You represent and warrant that:
• You are legally authorized to grant the licenses described in this CLA
• If employed, you have permission from your employer to submit Contributions, or your employer has waived rights to them
• Each Contribution is your original work, or you have clearly disclosed third-party ownership and licensing terms
• You have disclosed any known restrictions, patents, trademarks, or third-party licenses associated with your Contribution

5. Disclaimer of Warranty

Contributions are provided on an “AS IS” basis, without warranties or conditions of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, or non-infringement.

You are not obligated to provide maintenance, support, or updates for your Contributions unless you choose to do so.

6. Third-Party Contributions

If you submit work created by a third party, you must clearly identify the source, ownership, and applicable licenses, and label the submission as: “Submitted on behalf of a third party: [Name]”.

7. Ongoing Notice Obligation

You agree to promptly notify Item Instock if you become aware of any information that would make your representations under this CLA inaccurate or incomplete.

8. Governing Law & Jurisdiction

This Contributor License Agreement shall be governed by and construed in accordance with the applicable laws governing Item Instock’s principal operations. Any disputes arising from or related to this CLA shall be subject to the exclusive jurisdiction of the competent courts determined by Item Instock.
